This document is written in English, in England and is subject to English Law.
Definitions

“The Company” means In:Quality Limited, Registered in England No. 09459734.

“Device” means any computer, tablet or similar capable of running the service

“Service” means ipDTL

“User” means any person, company or organisation using the Service

Part 1 - ipDTL
Service

ipDTL is an internet based service which allows audio, video, text and data to be transmitted between two compatible devices across the internet.  These terms relate to the use of this service only and do not cover the installation or provision of hardware.

Provisions of Service

These conditions form The Company’s entire contract with the user unless an additional or replacement contract is made in writing. The Company undertakes to provide the service 24 hours a day, 365 days a year.  It is however technically impracticable to provide such a service free of faults and The Company does not undertake to do so.

Matters Beyond The Company’s Reasonable Control

The Company shall not be liable for any failure caused by matters beyond that party’s reasonable control including, but not by way of limitation, Acts of God, fire, lightning, explosion, war, disorder, flood, industrial disputes (whether or not involving that party’s employees or agents), weather of exceptional severity or acts of local or central Government or other authorities or the act or omission of any person for whom that party is not responsible.

Technical Support

ipDTL is designed to be user-friendly with on-screen instructions for basic setup.  It is assumed that users will have a basic understanding of using a computer with external hardware for professional audio and video purposes. Subscription to ipDTL does not entitle the User to any technical support in using the service.

Supported Browsers

The service relies upon users having a supported web browser installed on their device. The Company will publish details of which browsers are capable of running ipDTL at https://ipdtl.com.  The Company accepts no responsibility for updates to browsers which affect their ability to run the service.

Suspension of Service

The Company may without notice cease to provide Service or temporarily suspend Service for the repair, maintenance or improvement of infrastructure.

Internet Connection

The service relies upon use of an existing connection to the internet.  It is the user’s responsibility to ensure that use of the service meets the terms and conditions laid down by  any Internet Service Provider and accepts full liability for all payments for such use.

Subscription Fees

Subscription fees are to be paid in advance by Credit Card, Debit Card, Charge Card, or other means as agreed, per 24 hours, calendar month or year. Monthly or Annual subscriptions require 'continuous authority' to take repeat payments for subscription renewals until such time that a subscription is cancelled at https://ipdtl.com/configure_account.php. Legacy PayPal subscriptions can be cancelled at any time through the PayPal website.

Refunds

It is the customer's responsibility to cancel recurring payments by logging into the ipDTL website, prior to the next scheduled payment being taken. There will be no refund of such payments.

Changes to Subscription Fees

From time to time, The Company may change the advertised amounts for subscription. In the event that prices are lowered, users may cancel their existing subscription and commence a new subscription at the lower rate. In the event that prices are raised or if a user subscribed at a lower promotional rate, The Company reserves the right to update user's recurring payment profile with the higher amount.

Relay Servers

The Company operates relay servers in North America, Europe and Asia which allow connections to be made when point-to-point fails.  As the service grows, relay servers may be added in other locations.

Advertising

We may at times promote the services of The Company within the web pages at ipdtl.com.  We reserve the right to make third party advertisements visible to users of free accounts.  Affiliate links for relevant products on Amazon.com and other such websites may be embedded throughout the site.

Liability

The Company accepts absolutely no responsibility for any loss of programming, content or planned business activity and any subsequent financial losses as a result of failure to establish a connection using the service for any reason whatsoever.

Part 2 - ipDTL Tel

'Tel' provides the facility to make voice calls from ipDTL into the worldwide Public Service Telephone Network via the internet.

Emergency Services

ipDTL is not a substitute for traditional telephony services and as such, EMERGENCY CALLS CAN NOT BE MADE THROUGH THIS SERVICE.

Service Levels

Two service levels are offered: 'Tel' and 'Tel+'. 'Tel' allows calls to landlines and some mobiles in many countries. 'Tel+' also allows calls to a wider range of countries and mobiles.
Premium numbers, satellite phones, remote areas, or otherwise prohibitively expensive destinations may not be available. Subscribing to either Tel service does not guarantee connectivity to any particular destination.

Fair Use

The Tel service is provided on a 'fair-use' basis. The basic Tel+ service allows up to five hours of outbound non-US mobile calls per month. This allowance can be upgraded after the initial subscription. The company reserves the right to withdraw the Tel service from an account without prior notice and at its sole discretion if the wholesale cost of calls made exceeds that paid for the service.

Call Records

The company and its partners shall maintain and retain any such information as may reasonably be required for calculation or verification including information on individual calls. The company may disclose such information to government security services only if required to do so by law or court order.

Part 3 - ipDTL Network

ipDTL Network is an online database which makes details of ipDTL users public including name, contact and location information. Users can choose wether or not to include their details in the database and how much information is disclosed. If a user already publishes information about itself online, The Company may choose to add such information to the database without prior approval on the basis that this information is already in the public domain. This information will be removed on request.

ipDTL Network Listing Types

One complimentary basic listing is allocated per Login ID and premium listings can be added to an account's monthly or annual subscription.

Basic Listings

A basic listing displays the listing title and map location to all site visitors. Other information submitted to the database can be viewed by 'Superviewer' users.

Premium Listings

A premium listing displays all submitted information and media to all site visitors.

Superviewer Access

For an additional fee, a Login can be granted 'Superviewer' access. This allows the user to see all submitted information for all listings as if they were premium listings.

Use of Data

All information and media submitted to the ipDTL Network database should be considered public. Users should be aware of the increased risk of unsolicited contact as a result of listing e-mail addresses, phone numbers etc. The Company may use any submitted information in order to assist other clients in making contact with ipDTL users for purposes such as but not limited to facilitating an interview or voice session. A contract for the provision of such a service should be established directly between the two parties and The Company accepts no liability for such a transaction. The Company may charge its clients a fee for supplying such information and by submitting it to the database in the first instance users give permission for it to be used in this way.

Part 4 - Affiliate Scheme
Eligibility

Any ipDTL user may participate in the Affiliate Scheme provided that they are or are authorised to represent the individual or company named on the account.

Participation

To participate, the user or their agent may publish or share the unique Affiliate Link associated with their ipDTL account. This can be found at https://ipdtl.com/affiliate.php

Cookies and Tracking

When clicking on an Affiliate Link, a cookie is set in the visitor's web browser for 7 days. If the visitor registers for an ipDTL Subscription Account in that time, the visitor's account is then associated with the participating user's Affiliate Code for 61 days. The visitor must have cookies enabled for this to happen.

Affiliate Earnings

Unless otherwise agreed in writing, the participating user will receive 10% of all revenue received via online subscriptions in the first 61 days following registration. Affiliate earnings will be added to the ipDTL account as credit amount which will be deducted from the cost of future subscriptions. This credit has no cash value.

Privacy

Participating users should be aware that Affiliate Links utilise the same code as Link+ addresses. Users wishing to keep their Link+ address secret should therefore not participate in the affiliate scheme or setup a new Subscription Account in order to do so.

Part 5 - Legal

The user shall not use the service for any activity that is deemed illegal in either their own jurisdiction, that of any other party, or of the company (including activities deemed unlawful under a complainant’s jurisdiction). Furthermore, the user shall not allow any unauthorised user or third party access to, or use of, the service and shall take all reasonable security measures to prevent the same.

Appropriate Use

The user warrants that any material and/or communication received, transmitted, hosted or otherwise processed using the Service will not be menacing, of a junk-mail or spam-like nature, illegal, obscene, threatening, defamatory, cause annoyance, inconvenience or anxiety; discriminatory, promote illegal or unlawful activity, be otherwise actionable or in violation of any rules, regulations or laws to which the use of the Service is subject, or infringe the intellectual property rights of the company or any third party.

Indemnity

The user must indemnify The Company against any claims or legal proceedings arising from the user’s use or any third party’s use of the service which are brought or threatened against The Company by another person.

Social Media

We believe that social media is vital for any modern business and from time to time will mention the activities of ipDTL users on platforms such as Twitter, YouTube and Facebook.  Individuals and organisations may request anonymity from such activity in writing.

Data Protection

The Company will hold data submitted online by users on its own and third-party servers in secure data-centres and on local storage.  All reasonable measures will be taken to ensure that data is kept secure.  Data will be used purely for the purpose of administering the service or for targeted marketing where users have granted permission for such communication.

Copyright and Intellectual Property

The Company will make no claim to any content or material broadcast, produced, shared or published using the Service.

Variation of Conditions

The Company may from time to time change the wording of these terms and conditions, the latest version of which can be found at https://ipdtl.com/terms.php

Severability

If any provision of this Contract is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction, such provision shall be severed and the remainder of its provisions will continue in full force and effect as if this Contract had been executed with the invalid, illegal or unenforceable provision omitted.
